Alpha Partners (“Firm”) is a law firm headquartered in NCR of New Delhi with an office in Dubai.

The Firm specializes in advising and representing foreign and domestic corporations with diverse business interests in India. The Firm provides corporate, commercial legal advisory as a service, by lawyers with rich experience in their respective fields of practice. The Firm assists Indian companies in fund raise (private), inorganic expansion and growth through M&A, Corporate restructuring, insolvency, contract and compliance management and assists foreign companies in setting up or doing business in India, undertaking cross border transactions, M&A, investments, joint ventures and works with foreign law firms in advising their clients for Indian laws.

The firm also has an affiliate entity registered in Dubai, UAE where the firm services its clients in UAE and MENA region as well as international clients having business interests in the region. Undertaking due diligence of various types of properties: Services include verification of ownership, title, rights, interest or lease rights

Drafting and finalizing share sale agreements, working with brokers/advisors to negotiate and close the agreements with prospective buyers;
Hand Holding for execution, stamping and other documentation for sale of shares, execution of deed of adherence with existing SHA’s.

Assistance in setting up of trust structures prior to listing for succession planning of the promoters.
Review of information including with respect to indemnities, representations, shared in relation to Promoter(s), Promoter Group disclosed in the Offer Document to ensure that it’s aligned to promoter interest;
Drafting and execution of agreement to amend and terminate SHA’s to facilitate IPO and to convert CCPS or other special securities to ordinary equity shares.
